Biography
Walter F. Alomar-Jiménez is a capital member of the Corporate Department at O’Neill & Borges LLC, with over 20 years of experience advising clients on complex real estate, commercial finance, distressed asset transactions, and corporate mergers & acquisitions. Known for his precision and strategic insight, Walter regularly leads high-stakes transactions involving credit structuring, asset-based financing, agricultural loans, workouts and acquisitions of non-performing assets.
Walter has been consistently recognized by Best Lawyers as a leading attorney in real estate, corporate, and M&A transactions, reflecting his market reputation for technical proficiency and deal-making acumen. Over the course of his career, he has led due diligence and acquisition teams for major U.S. private equity funds (such as TPG, Capital Crossing, Atalaya Capital) in landmark transactions such as the acquisition of assets from the FDIC stemming from Doral Bank, as a failing banking institution; multi-hundred-million-dollar portfolios of commercial and construction loans and real estate-owned (REO) properties; and large-scale shopping center acquisitions in Puerto Rico valued at over US$1.15 billion.
Walter routinely represents lenders in financing transactions, negotiating syndicated loans, mezzanine structures, construction facilities, and the acquisition of distressed assets. He drafts and negotiate collateral documentation—including mortgages, security agreements covering all kind of UCC collateral. In distressed assets scenarios, Walter leads restructuring, workouts, foreclosure, deeds in lieu, and discounted pay-off strategies, often collaborating with litigation and bankruptcy teams to protect secured creditor interests.
His client base includes private equity funds, major banks, and institutional real estate investors. Noteworthy clients include Capital Crossing, Texas Pacific Group (TPG), Victoria’s Secret, Bath & Body Works, Blackstone, Bank of America, JP Morgan Chase, Wells Fargo, Oriental Bank, Banesco USA, FirstBank, and others.
On the academic and licensing side, Walter holds a B.B.A. in Finance from the University of Puerto Rico (1998), a J.D. from Interamerican University (2001), and an LL.M. in Corporate Law from New York University (2006). He is admitted to practice in Puerto Rico, Illinois, the U.S. District Court for the District of Puerto Rico, and the U.S. Court of Appeals for the First Circuit.
