Biography

Rafael Hernández-Miranda is a corporate attorney with over two decades of experience guiding clients through their local transactions and operations. A member of the Corporate Department of O’Neill & Borges LLC, where he has been practicing since 2005, his practice focuses on general corporate and commercial law, financial licensing and regulatory matters, insurance and health law, government contracts and procurement, mergers and acquisitions, and government and legislative affairs.

Before entering law, Rafael worked in the sales and trading division of a major New York bank (1999–2002), gaining financial markets insight that now informs his work advising clients on complex corporate transactions. He has represented both private and governmental clients in evaluating and monitoring proposed legislation, attending public hearings, preparing position papers, and drafting legislation and amendments, particularly in the governmental, insurance, and health law sectors.

In his mergers and acquisitions practice, Rafael advises both buyers and sellers in structuring, negotiating, and executing significant corporate transactions. In the insurance and health law arena, he regularly assists clients in navigating intricate regulatory and compliance requirements. His government contracts and procurement practice spans local licensing, regulatory compliance, distribution and franchise laws, and commercial law.

His representative transactions include advising MHR Fund Management LLC in the acquisition of several commercial, REO, performing and non-performing mortgage, secured and consumer loan portfolios; Tyco International and ADT Security on the reorganization of their local operations; Sojitz Corporation of Japan in its acquisition of the Hyundai vehicles distribution business in Puerto Rico; Sojitz de Puerto Rico Corporation with their ongoing operations; and World Fuel Services on the acquisition of Petro Air, among others.

Rafael earned his B.B.A. and J.D. from the University of Puerto Rico in 1998 and 2005, respectively, and is admitted to practice law in Puerto Rico.

With his combination of financial acumen, transactional strength, and legislative insight, Rafael is regarded as a distinguished authority in Puerto Rico’s corporate and regulatory law. Clients rely on him to structure deals effectively, anticipate legislative shifts, manage regulatory complexity, and achieve results aligned with their strategic goals.
