Biography
Nicole J. Berio-Dorta is a Member of the Corporate Department at O’Neill & Borges LLC, where she has practiced since 2011. Her practice focuses on corporate law, mergers & acquisitions, commercial lending, and real estate transactions. Nicole advises financial institutions, government entities, and private companies on complex financings and development projects in Puerto Rico, as well as on local and cross-border transactions involving equity and asset sales, corporate reorganizations and restructurings, joint ventures, and buyouts, among others.
She regularly represents banks and other lenders in structuring and documenting credit facilities, secured transactions, and loan workouts. Nicole has substantial experience in commercial financings, acquisitions, and leasing, often assisting clients in evaluating risk and ensuring compliance with Puerto Rico’s regulatory framework. She also counsels clients on corporate governance and transactional matters, particularly those entering or expanding operations in Puerto Rico.
Her portfolio of representative work includes advising private-equity funds in the acquisition and management of multi-million-dollar portfolios of performing and non-performing loans and foreclosed properties. She has also counseled Banco Popular de Puerto Rico, FirstBank Puerto Rico, Goldman Sachs, Nave Bank, Banco Santander Puerto Rico, the Government Development Bank for Puerto Rico, Oriental Bank, Wells Fargo, Comvest Partners and Parliament Capital Management in a variety of lending matters, including asset-based and mortgage loans, as well as out-of-court workouts and restructurings. Nicole has also advised CEFI in corporate reorganizations and various securitization transactions, and Interlink Group and its affiliates on the acquisition and development of multiple hotels in Puerto Rico, guiding them through deal structuring, due diligence, and the negotiation and documentation of equity and asset purchases and related financings.
Nicole earned her B.B.A. from the University of Puerto Rico in 2007 and her J.D. from the University of Puerto Rico School of Law in 2011. She also obtained an LL.B. from the University of Barcelona School of Law in 2011 through a dual-degree program. She is admitted to practice in Puerto Rico and before the U.S. District Court for the District of Puerto Rico.
