Aurelio
Emanuelli-Freese is a member in the Corporate Department. He joined O'Neill & Borges LLC in 2007. He has been in private
practice since 1991. During 2006 and 2007 he was the Chief Legal Officer of Westernbank Puerto Rico, a $17 billion
FDIC-insured commercial bank and a wholly-owned subsidiary of W Holding Company, Inc. (NYSE:WHI).
Mr. Emanuelli's
practice has focused on financial institutions, corporate and public finance, mergers and acquisitions, and securities regulatory matters.
He has advised various banks, broker-dealers and other financial institutions, including publicly-traded companies, with respect to corporate
governance, regulatory and compliance matters involving their operations in Puerto Rico and the United States. He has also been
involved in advising financial institutions in various charter conversions and holding company reorganizations.
In the
corporate and public finance area he has been involved in numerous offerings of municipal securities, corporate debt and
equity securities in Puerto Rico and the United States, representing underwriters, government issuers, publicly-traded companies,
private issuers, letter of credit issuers, and other credit enhancers. In recent years, he has participated in several municipal
securities offerings by the Commonwealth of Puerto Rico and its instrumentalities, AFICA conduit financings, and offerings by publicly-traded
financial institutions and Puerto Rico investment companies.
In the
mergers and acquisitions area, Mr. Emanuelli has been involved in several major transactions, including several acquisition transactions
involving banks and other financial institutions in Puerto Rico and acquisitions by Puerto Rico financial institutions of banks and other
financial institutions in the United States. He has algo participated in merger and acquisition transactions of other businesses, representing
both purchasers and sellers.
He has
also been involved in several private equity transactions in Puerto Rico, and in the preparation of offering statements and other documents
required for the licensing of several time share development projects in Puerto Rico.
